Terms of Service

These Terms of Service (“Terms”) govern your use of the Prime Solution website (the “Site”) and any services we provide, including IT support, custom programming, automation, Quiz Builder, Form Generator, Data Conversion, Web Automation, Custom Software, and the Blog Poster subscription (collectively, the “Services”). By using the Site or purchasing a Service, you agree to these Terms. If you don’t agree, don’t use the Site or the Services.
1. Who We Are
“Prime Solution,” “we,” “us,” and “our” refer to Prime Solution, an Illinois-based IT services and custom programming business. “You” means the person or entity using the Site or purchasing a Service.
2. Services We Provide
We provide the IT and programming services described on the Site. Specific scope, deliverables, and timelines for project-based work (Quiz Builder, custom development, etc.) are agreed in writing before work starts. The Blog Poster subscription is a recurring monthly service described in section 3.
We may update, change, or discontinue any Service at any time. If we discontinue a Service you’re currently paying for, we’ll provide reasonable notice and a prorated refund for any unused portion.
3. Blog Poster Subscription
The Blog Poster subscription is a recurring monthly service. Each month we publish 8–12 SEO-optimized blog posts to your website based on the intake information you provide.
- Billing: $10.00 USD per month, charged automatically by Stripe on the same calendar day each month based on your initial subscription date.
- Intake required:Delivery begins after you complete the intake form. We can’t write the right posts without it. If you don’t complete the intake within 14 days of subscribing, we may pause delivery and contact you; if we still don’t hear back after 30 days, we may cancel the subscription and refund the most recent unused month.
- Cancellation:You can cancel anytime through Stripe’s customer portal or by contacting us. Cancellation stops future billing immediately; you keep access to posts already published.
- Refunds: The current month is non-refundable once posts have been published. If no posts have been published in the current billing period and you cancel, contact us for a refund.
- Delivery cadence:8–12 posts per calendar month. We don’t guarantee specific publish dates within the month, only that the count is met.
- Site access:You’re responsible for providing whatever access we need to publish (CMS login, API key, admin invitation, etc.). We’ll treat that access carefully and use it only to deliver the Service.
- Content ownership: Once posts are published to your site, you own them. See section 5.
4. Project-Based Work
For one-time or project-based services (Quiz Builder, custom software, automation, data conversion, etc.), we’ll agree on scope, deliverables, timeline, and price in writing before starting. Payment terms vary by project — typically 50% upfront and 50% on delivery, but we’ll spell it out in the project agreement.
5. Intellectual Property
Your content: Anything you give us — business information, keywords, source materials, brand assets, login credentials — remains yours. We use it only to deliver the Services.
Our deliverables:Once a deliverable is paid for in full, you own it. That includes Blog Poster posts (after they’re published), custom code we write specifically for you, and any final assets we hand off.
Our tools and methods:We retain ownership of our internal tools, templates, frameworks, and know-how, and we may reuse them on other projects. We don’t reuse content or proprietary information specific to your business.
Site content:The text, illustrations, and design of this Site are owned by Prime Solution. Don’t copy or republish them without permission.
6. Your Responsibilities
- Provide accurate, current information when you contact us or fill out forms
- Make timely payments per the agreed terms
- Respond to reasonable questions we need answered to deliver the Service
- Use the Services lawfully and in good faith
- Not use the Services to publish content that is illegal, defamatory, infringing, hateful, or fraudulent
- Have the right to publish whatever content you ask us to publish on your behalf
If you ask us to publish or distribute content that violates someone else’s rights or applicable law, we’ll refuse and may cancel the Service.
7. Acceptable Use of the Site
You agree not to:
- Attempt to gain unauthorized access to any part of the Site or our systems
- Probe, scan, or test for vulnerabilities without our written permission
- Use automated tools to scrape, crawl, or extract data beyond normal browsing
- Submit fraudulent, abusive, or spam form submissions
- Interfere with the Site’s operation or other users’ access
8. Third-Party Services
The Site uses third-party services (Stripe for payments, Vercel for hosting, Google reCAPTCHA for spam protection, Gmail/Google for email delivery). Your use of those services is subject to their own terms and privacy policies. We’re not responsible for any third party’s acts, errors, or outages.
9. Disclaimers
The Site and Services are provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties — express, implied, statutory, or otherwise — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We don’t guarantee that the Services will be uninterrupted, error-free, or produce specific business outcomes (e.g., search rankings, traffic levels, or conversion rates). Search engine algorithms and third-party platforms are outside our control.
10. Limitation of Liability
To the fullest extent allowed by law, Prime Solution’s total liability arising out of or relating to these Terms, the Site, or the Services will not exceed the greater of: (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we were advised of the possibility of such damages.
Some jurisdictions don’t allow these limitations, so they may not apply to you in full.
11. Indemnification
You agree to defend, indemnify, and hold Prime Solution harmless from any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services, (b) content you provided or asked us to publish on your behalf, or (c) your breach of these Terms.
12. Termination
You may stop using the Services at any time and cancel any subscription as described in section 3. We may suspend or terminate your access to the Services for any material breach of these Terms, illegal activity, or non-payment, with or without notice. Sections 5, 9, 10, 11, 13, and 14 survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Lake County, Illinois, and you consent to personal jurisdiction there.
Before filing any formal claim, you agree to first contact us through the form on our home page and give us 30 days to attempt resolution.
14. Changes to These Terms
We may update these Terms from time to time. The “Effective” date at the top reflects the latest revision. Material changes affecting active subscribers will be communicated by email at least 14 days before they take effect. Continuing to use the Site or Services after the effective date means you accept the new Terms.
15. Miscellaneous
- Entire agreement: These Terms (together with any signed project agreement) are the entire agreement between you and us about the Services.
- Severability: If any provision is found unenforceable, the rest remains in effect.
- No waiver:Our failure to enforce a provision isn’t a waiver of our right to enforce it later.
- Assignment:You can’t assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, or sale of assets.
